
Sofia’s General Terms & Conditions of Service

These Terms and Conditions ("Terms") govern the provision of communications, content, and public relations services ("Services") by Sofia & Co Ltd ("Sofia & Co", "we", "us", or "our") to any client ("Client", "you").

By commissioning our Services, you agree to be bound by these Terms.
1. Scope of Services
​
1.1. We provide communications consultancy, public relations, editorial services, social media support, and related content creation.
1.2. Specific deliverables, deadlines, and fees will be outlined in a separate project proposal or agreement (the “Service Agreement”).
1.3. Services may be delivered directly by Sofia & Co or through our global network of freelance professionals.
2. Client Obligations

2.1. The Client agrees to:

Provide all necessary materials, background information, and approvals in a timely manner.

Respond to feedback requests, reviews, or sign-offs as outlined in the project timeline.
2.2. The Client is responsible for the accuracy and legality of all materials and instructions provided.
3. Fees & Payment

3.1. Fees will be set out in the Service Agreement. All amounts are in euros (EUR), excluding applicable VAT unless stated otherwise.
3.2. Payment terms:

50% upfront for new clients or large projects (unless agreed otherwise in writing).

Final 50% due upon completion or by the date specified in the invoice.
3.3. Payment is due within 14 days of the invoice date unless otherwise agreed.
3.4. Late payments may incur a 10.5% monthly interest and suspension of Services.
4. Revisions & Changes

4.1. The Client is entitled to a reasonable number of revisions (typically two) for each deliverable.
4.2. Significant changes in scope or direction after project commencement may incur additional fees and adjusted timelines.
5. Cancellation & Termination
​
5.1. Either party may terminate the Service Agreement with 30 days’ written notice.
5.2. If the Client cancels after work has begun, fees will be due for all work completed to date, including any committed or non-recoverable third-party costs.
5.3. Sofia & Co reserves the right to terminate Services immediately in case of breach, non-payment, or conduct that compromises our staff or collaborators.
6. Intellectual Property

6.1. All original work created by Sofia & Co for the Client will become the property of the Client upon full payment.
6.2. Sofia & Co retains the right to showcase completed work in portfolios and promotional materials unless explicitly restricted by the Client in writing.
6.3. Sofia & Co retains all rights to pre-existing tools, templates, or materials used in the production of Client work.
7. Confidentiality

7.1. Both parties agree to treat all non-public information shared during the engagement as confidential.
7.2. This obligation will survive the end of the agreement for a period of 5 years.
8. Subcontracting
​
8.1. Sofia & Co may delegate parts of the Services to trusted freelancers or subcontractors, under strict confidentiality and quality standards.
9. Liability & Warranties
​
9.1. Sofia & Co will deliver Services with reasonable care and skill but does not guarantee media coverage, third-party actions, or specific campaign outcomes.
9.2. To the extent permitted by law, Sofia & Co is not liable for any indirect, incidental, or consequential loss. Our total liability for direct damages shall not exceed the fees paid for the Services.

10. Refunds
​
10.1. All fees paid under the Service Agreement are non-refundable, regardless of Client satisfaction. However, nothing in this clause shall affect the Client’s statutory rights under applicable consumer protection laws.
11. Force Majeure
​​
11.1. Neither party will be liable for delay or failure to perform caused by events beyond reasonable control, including natural disasters, government restrictions, or internet outages.

12. Governing Law & Dispute Resolution
​​
12.1. These Terms are governed by the laws of the Republic of Finland.
12.2. Any disputes will first be attempted to be resolved amicably, including through mediation or arbitration; if unsuccessful, disputes shall be submitted to the competent courts of Helsinki, Finland.

13. Miscellaneous
​​
13.1. These Terms, together with the Service Agreement, constitute the full agreement between the parties.
13.2. Any amendments must be in writing and signed by both parties.
